1. About these Terms
These Terms of Service form an agreement between you and Qinet Pte Ltd (“Qinet”, “we”, “us” or “our”). They govern use of www.qinet.ai and the Qinet services made available to you, including DIANE and its social media management features (the “Services”). Specific services may have additional terms, usage limits or order forms. Only features expressly included in your subscription or written agreement are supplied.
By accepting these Terms, registering an account or using the Services, you agree to them. A person acting for an organisation confirms authority to bind it; “you” then means that organisation. If you do not agree, do not use the Services. Paid accounts and connected-account features require affirmative acceptance during onboarding or ordering.
An agreement signed by authorised representatives of both parties prevails over an order form, which prevails over service-specific terms, which prevail over these Terms, unless that agreement expressly specifies otherwise. A purchase order or other customer document does not amend our terms unless Qinet expressly accepts the amendment in writing. Our Privacy Policy explains our personal data practices.
2. Eligibility and account authority
The Services are intended for business and professional use. Account holders must be at least 18 years old and legally able and authorised to enter this agreement. You must also meet each connected platform’s eligibility rules. Public website browsing does not require an account.
Provide accurate account and billing details, protect credentials and authentication methods, promptly remove access for departing personnel, and notify hello@qinet.ai of suspected compromise. You are responsible for authorised users and for account activity attributable to you or your failure to safeguard access, subject to applicable law and Qinet’s own obligations.
You may manage your own accounts or client accounts where you have the necessary authority and permissions. Obtain and maintain all client approvals and consents. You remain responsible to Qinet for your users and client work. You must not resell access, share a subscription beyond its limits or grant access to unauthorised persons.
3. DIANE and connected features
DIANE is Qinet’s AI-enabled platform. Depending on the subscribed features, it may help users plan, create, adapt, schedule, publish and analyse social media content. Supported integrations may include TikTok, YouTube, LinkedIn, X, Facebook and Instagram. Availability depends on your plan, account type, platform approvals and technical access. Listing a platform does not guarantee every feature or ongoing availability.
Connect accounts using the relevant platform’s official authorisation process. Do not give Qinet your social media passwords. Permissions and access tokens are used to operate the enabled features, as explained in our Privacy Policy.
You control which accounts and content are approved for publication. Approving a schedule authorises DIANE to attempt publication at the selected times without seeking fresh approval for each scheduled post. You must check the displayed timezone, account, audience, content and schedule before approval. Changes to approved content or recurring workflows must remain within the authority you expressly grant.
Publication times, delivery and results are not guaranteed. Posts may be delayed, rejected, duplicated or fail because of technical errors, expired permissions, platform restrictions or other causes. Monitor important posts and use platform tools where necessary. No minimum service level or response time applies unless expressly agreed in writing.
4. Connecting and disconnecting accounts
You warrant that you are entitled to connect and manage each account and to grant the requested permissions. You may disconnect accounts through available DIANE controls or revoke access through the relevant platform. Google and YouTube access can also be revoked at https://security.google.com/settings/security/permissions.
For TikTok, open Profile, then Menu, Settings and privacy, Security & permissions, and Apps and services permissions. Select DIANE and tap Remove access. Menu names may vary by app version. TikTok guidance: https://support.tiktok.com/en/safety-hc/account-and-user-safety/connect-to-third-party-apps
After disconnection or revocation takes effect, DIANE will cease initiating further publishing requests for that connection. Requests already submitted or posts already queued within a platform may still be processed. Check and, where necessary, cancel or remove them directly on that platform. Disconnecting an account does not automatically delete published content, close your DIANE account or cancel your subscription.
Data retention, deletion and handling of connected-account data are explained in our Privacy Policy. Revocation and deletion are implemented subject to applicable platform requirements and law.
5. Your content and publishing responsibilities
“Your Content” includes materials you submit, upload, generate, approve or publish through the Services. You are responsible for reviewing it and ensuring that its use is lawful, accurate and suitable, including claims, prices, disclosures, personal data, music, images and permissions from identifiable persons where required.
You must hold all necessary rights, licences, consents and authority to submit, process and publish Your Content and to authorise Qinet and its providers to perform the Services. You must comply with intellectual property, privacy, advertising and other applicable laws and with platform policies, including sponsored-content and AI-content disclosure rules.
You retain rights you already hold in Your Content. To the extent Qinet holds transferable rights in output generated specifically for you, Qinet assigns those rights to you upon full payment of the applicable fees, excluding Qinet materials, tools and third-party materials. This does not guarantee that output qualifies for copyright protection, is unique or is free of third-party rights.
You grant Qinet a non-exclusive, worldwide, royalty-free licence to host, copy, process, technically adapt, transmit and publish Your Content solely to provide, secure and support the Services and comply with law. Qinet may permit its service providers to exercise those rights only for those purposes and subject to applicable confidentiality and data protection obligations. This licence continues only as necessary for those purposes, including limited backup retention and legal requirements. Content already published remains subject to the receiving platform’s terms.
These Terms do not grant Qinet a general right to use Your Content in public marketing or to train general-purpose AI models. Any such use requires a separate lawful basis and appropriate disclosure or permission. Our Privacy Policy and any applicable data processing agreement describe relevant provider processing.
6. AI output and human review
AI output may be inaccurate, incomplete, outdated, biased, non-unique or unsuitable. Check facts, rights, tone, brand suitability and regulatory requirements before relying on or publishing it. AI output is not professional legal, financial or other regulated advice.
You must review and approve content before publication or scheduling. Qinet does not guarantee originality, rights clearance, accuracy, platform approval or business results. Use of AI does not remove your responsibility for decisions, approvals and published content. Qinet remains responsible for obligations that cannot lawfully be excluded.
7. Platform terms and independent providers
Connected platforms are independent third parties. You must comply with their applicable terms and policies. DIANE’s YouTube features use YouTube API Services. By using those features, you agree to be bound by the YouTube Terms of Service. Relevant links are:

Platforms may change APIs, permissions, prices, features or policies, suspend accounts or remove content. Qinet cannot control those decisions. Qinet is not affiliated with or endorsed by a platform merely because an integration is available. Third-party terms apply to your direct use of those services; Qinet’s own obligations remain governed by this agreement and applicable law.
8. Acceptable use
You must not use the Services to break the law; infringe rights; publish unlawful, defamatory, exploitative, threatening or deceptive material; send spam; create fake engagement; impersonate others; or manage accounts without authority.
Do not bypass platform controls, rate limits, account restrictions or security measures; introduce malware; access another tenant’s data; disrupt systems; extract credentials; or conduct security testing without Qinet’s prior written permission.
Do not copy, sell, sublicense or reverse engineer the Services, or use them to develop a competing service, except to the extent expressly permitted in writing or by law. Do not remove ownership notices or use Qinet’s names or logos without permission. You must comply with agreed usage limits and must not evade metering or payment.
9. Qinet intellectual property
Qinet and its licensors retain all rights in the Services, software, workflows, templates, methods, documentation, brands and pre-existing materials, and improvements to them. Customer-specific ownership arrangements require an express written agreement.
Subject to payment and compliance, Qinet grants you a limited, non-exclusive, non-transferable right during your subscription to use the Services for your business or authorised client work within your plan. No source code, underlying model or other ownership is transferred. Third-party materials retain their applicable terms. You may voluntarily provide feedback; Qinet may use it without payment, provided it does not disclose your confidential information.
10. Privacy and confidentiality
Our Privacy Policy is available at https://www.qinet.ai/privacy-policy.html. It describes personal data handling and connected-account data practices. Where Qinet processes personal data on your behalf, any applicable data processing agreement prevails for that processing. You are responsible for the notices, consents and other authority required for data you supply or instruct us to process.
Each party must protect the other’s confidential information using reasonable care and use it only for the agreement’s purposes. Disclosure is permitted to personnel, advisers and providers who need it and are bound by appropriate obligations, or where law requires. Information independently developed, lawfully received without restriction or publicly available without breach is excluded. Confidentiality continues for three years after termination, and for trade secrets while they remain trade secrets. Personal data obligations continue as required by law.
Do not submit sensitive or regulated information unless the relevant service is expressly agreed and suitable safeguards are in place. Nothing here limits Qinet’s statutory data protection duties.
11. Fees and payment
Fees, subscription periods, included usage and any setup or third-party charges are specified in your accepted order or pricing offer. Unless otherwise stated, fees are in Singapore dollars, exclude applicable GST and similar taxes, subscriptions are billed in advance, and invoices are payable within 14 days. Your own platform advertising spend and third-party subscriptions are separate unless expressly included.
Renewal is automatic only if expressly disclosed and accepted when ordering, for the renewal period stated there. Otherwise a renewal requires agreement. To stop an agreed automatic renewal, give notice at least 30 days before renewal, unless your order specifies another period. Cancelling renewal does not end the current committed term.
Usage allowances, token limits and overage rates must be disclosed in your plan or order. Qinet may restrict usage when an allowance is exhausted. Additional billable usage requires an agreed rate and authority; Qinet will not impose undisclosed overage rates retrospectively.
Fees for services already provided, setup work performed and committed subscription periods are non-refundable except where this agreement or law requires otherwise. Non-use, disconnection or account closure does not waive committed fees. If Qinet permanently discontinues a paid service without providing a materially equivalent replacement, or you terminate for Qinet’s material breach that remains unremedied 30 days after written notice, Qinet will refund prepaid fees for the unused affected period.
Notify Qinet of a genuine invoice dispute promptly, preferably within 14 days, with reasons; pay undisputed amounts on time. This period does not extinguish statutory rights. Overdue undisputed amounts may bear simple interest at 1% per month or the maximum lawful rate, whichever is lower. Qinet may suspend for non-payment after at least seven days’ written notice. Reasonable recovery costs may be charged where law permits.
Qinet may change renewal pricing on at least 30 days’ notice and early enough for you to exercise your contractual non-renewal right. Fixed-term prices do not change mid-term unless agreed. Where mandatory withholding applies, provide evidence and cooperate on available relief.
12. Availability and changes to services
We use reasonable care and skill in providing the Services. Maintenance, security work and third-party failures may interrupt access. Unless a written service level agreement says otherwise, uninterrupted availability, error-free operation and recovery of all data are not guaranteed. Keep suitable copies of important content and records.
Qinet may update or replace features and suspend affected functions for security, legal or platform requirements. For other material reductions to a paid service, Qinet will give reasonable notice where practicable. If a reduction materially defeats the paid service’s agreed purpose and no reasonable substitute is offered, you may terminate the affected service and receive a proportionate refund of unused prepaid subscription fees. Beta, trial and experimental features may change or be withdrawn and carry no production suitability guarantee.
13. Suspension termination and data
You may cancel renewal or request account closure at hello@qinet.ai, subject to your committed term and payment obligations. Either party may terminate for a material breach not remedied within 30 days of written notice, where the breach can be remedied.
Qinet may immediately suspend or terminate affected access for serious or repeated breaches, unlawful activity, unauthorised access, significant security risk, platform or legal requirements, or fraud. Where appropriate, Qinet will give notice and an opportunity to remedy. Qinet may discontinue a service on 30 days’ notice, with the refund treatment in section 11.
On termination, access and new publishing requests stop. Platform-side queues and published content must be checked as described in section 4. Outstanding fees remain payable. Unless prohibited by law or prevented by a serious security issue, you may request a standard export of available customer content within 30 days after termination. Custom migration work may carry an agreed charge. This export period does not override any shorter deletion deadline required by law or platform policy.
After the applicable export period, Qinet may delete customer content, subject to its Privacy Policy, platform requirements, limited backup cycles and lawful retention. An export may not include third-party data that cannot lawfully be supplied. Provisions intended to survive, including accrued fees, intellectual property, confidentiality, disclaimers, liability limits, indemnity and dispute provisions, survive termination.
14. Disclaimers
Except as expressly stated in this agreement and to the fullest extent permitted by law, the Services are provided “as is” and “as available”, and implied warranties and conditions are excluded. Qinet does not guarantee sales, revenue, reach, followers, engagement, platform acceptance, AI accuracy or fitness for a particular commercial outcome. Demonstrations and estimates are illustrative unless expressly incorporated as binding commitments.
Qinet is not responsible for your content choices or independent platform decisions solely because you use the Services. These exclusions do not remove Qinet’s express obligations or liability that cannot lawfully be excluded.
15. Limitation of liability
To the fullest extent permitted by law, Qinet is not liable for indirect or consequential loss, or loss of profits, revenue, business opportunities, goodwill, anticipated savings, followers or engagement, whether direct or indirect. Qinet is not liable for loss caused by unauthorised customer instructions, unlawful customer content or independent third-party acts, except to the extent attributable to Qinet’s own breach and subject to this section.
Qinet’s aggregate liability for all claims arising out of or relating to the Services or this agreement, in contract, tort including negligence, statute or otherwise, is capped at the total fees paid or payable to Qinet for the affected Services during the 12 months immediately preceding the first event giving rise to the claims. For Services supplied entirely free of charge, the aggregate cap is S$100. Connected claims and repeated events do not create separate caps.
These limits apply only to the extent lawful and enforceable. Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or right that cannot lawfully be excluded or limited. No disclaimer or cap overrides a mandatory statutory obligation.
16. Your indemnity
To the extent permitted by law, you will indemnify Qinet and its officers and employees against third-party claims, damages, settlements and reasonable legal costs arising from Your Content infringing rights or breaking the law, your unauthorised management of accounts, or your material breach of these Terms or applicable platform rules. This does not cover losses to the extent caused by Qinet’s breach, negligence or wilful misconduct.
Qinet will promptly notify you of the claim, with delay reducing your obligation only to the extent it materially prejudices the defence. You may control the defence with competent counsel reasonably acceptable to Qinet, and Qinet may participate at its own cost. No settlement may admit fault by Qinet, impose non-monetary duties on it or leave it liable without its written consent. If you fail to defend a covered claim reasonably, Qinet may defend it and recover reasonable covered costs. Both parties must reasonably cooperate and mitigate loss.
17. Changes to these Terms
Qinet may revise these Terms by publishing a dated version. Material changes will be notified by email or an in-service notice at least 30 days before taking effect, except where earlier action is reasonably required for law, platform compliance or urgent security issues. Changes do not retrospectively alter accrued rights.
For a paid fixed-term subscription, a materially adverse change to core commercial terms takes effect at renewal unless agreed earlier or required by law or platform rules. If an earlier required change materially impairs the paid service, you may terminate the affected service before it takes effect and receive a proportionate refund of unused prepaid subscription fees. Continued use after an applicable change takes effect constitutes acceptance, subject to any affirmative consent required by law.
18. Governing law and general provisions
Singapore law governs this agreement. The courts of Singapore have exclusive jurisdiction over disputes, subject to any mandatory rights or jurisdiction rules that cannot be excluded. Parties should first attempt in good faith to resolve disputes through their designated contacts; this does not prevent urgent relief or suspend legal time limits.
Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effect. This does not excuse payment for services already supplied or override express refund rights.
You may not assign this agreement without Qinet’s written consent. Qinet may assign it to an affiliate or a successor to the relevant business, provided this does not materially reduce your contractual protections. Qinet may use subcontractors and remains responsible for its contractual obligations.
If a provision is unenforceable, the remaining provisions continue. Failure to enforce a right is not a waiver. Neither party acts as the other’s partner, employee or general agent. Except as expressly agreed, a person who is not a party has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 2001.
This agreement and the documents incorporated under section 1 constitute the entire agreement for the Services. Nothing excludes liability for fraud or any reliance or remedy that cannot lawfully be excluded. Legal and contractual notices may be sent to your registered account email or to hello@qinet.ai; operational notices may also appear within the Services.
